Legal information for Nairobi Power Engineers Ltd.

These terms apply to quotations, orders and services supplied by Nairobi Power Engineers Ltd (“NPE”, “we”, “us”) unless a written contract agreed with you says otherwise. By placing an order with us you accept these terms.

1. Quotations

Quotations are valid for 30 days from the date issued, unless a different validity period is stated on the quotation. Prices are based on the information provided at the time of quotation, including single-line diagrams, load schedules, site conditions and preferred OEMs.

Where a quotation states that it is subject to a site survey, sample testing or receipt of further information, the quotation takes effect only once that condition is satisfied.

2. Acceptance

An order is accepted only when NPE confirms it in writing, such as an order acknowledgement, proforma invoice or signed contract. Issuing a purchase order does not by itself bind NPE.

Placing an order confirms acceptance of these terms, and any terms in your own purchase documents that conflict with these terms are excluded unless we agree otherwise in writing.

3. Payment

Payment terms are stated on each quotation and invoice. Unless otherwise agreed in writing, title in equipment remains with NPE until payment in full has been received.

NPE may suspend work, testing or delivery while any payment is overdue, without affecting its other rights.

4. Delivery and installation

Delivery dates are estimates given in good faith and are not of the essence unless expressly agreed in writing. Where installation is included in the quotation, the customer provides safe site access, a suitable and isolated power supply, and any permissions or permits required for the work.

Installation scope excludes civil works, cable laying, building services and other site works unless expressly quoted.

5. Warranty

NPE warrants that new equipment is free from defects in materials and workmanship for 12 months from commissioning, or from delivery where NPE does not install the equipment. Site workmanship is warranted to conform to the agreed scope for the same period.

The warranty does not cover damage caused by misuse, unauthorised modification, incorrect operation, failure to follow maintenance guidance, or environmental conditions outside the equipment’s ratings. NPE’s obligation under this warranty is limited, at NPE’s option, to repairing or replacing the defective part or re-performing the defective work.

6. Liability

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence.

Except for that, NPE’s total liability under a contract, whether in contract, tort (including negligence) or otherwise, is limited to the value of that contract, and NPE is not liable for indirect or consequential loss, including loss of production, profit, revenue, data or goodwill.

7. Governing law

These terms and any contract to which they apply are governed by the laws of the Republic of Kenya, and the courts of Nairobi have exclusive jurisdiction over any dispute.
